PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ENGAGING COUDFINET FOR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS.

1. Introduction & Agreement

These Terms of Service ("Terms") govern the services provided by CoudFinet ("we," "us," "our") to you, the client ("you," "your," "the merchant"). This document, along with any project proposal or quote we provide, and a mandatory signed contract, constitutes the entire agreement between you and CoudFinet. By accepting a quote or remitting payment for our services, and by signing the contract, you confirm that you have read, understood, and agree to these Terms.

2. Description of Services

CoudFinet is a Shopify Partner providing a range of services, including but not limited to:

  • Shopify store design and development ("Store Creation").
  • Customization of existing Shopify themes and stores.
  • Migration of e-commerce stores to the Shopify platform.
  • General technical support and hourly development work.

3. Project Engagement & Quoted Work

For custom tasks, changes, or troubleshooting charged by time, the following procedure applies:

  • Quote & Estimate: You will first receive a formal quote outlining the scope of work and an estimate of the time required.
  • Approval: Work will only commence after you have approved the quote in writing (e.g., via email) and the mandatory contract has been signed.
  • Billing: You will be billed for the actual time spent on the task, which may vary slightly from the estimate. We will communicate with you promptly if it appears the required time will significantly exceed the initial estimate.
  • Discovery of Unforeseen Complexities: During the course of our work, we may discover that a requested change or customization has unforeseen complexities or negatively impacts other functionalities of your store. Should this occur, we will:
    1. Immediately pause work on that specific task.
    2. Notify you with a clear explanation of the issue and its implications.
    3. Provide you with options on how to proceed, which may include a revised quote for the additional hours needed to resolve the new complexity.
    4. We will only proceed with the revised course of action upon receiving your explicit written approval.

4. Estimated Delivery Timeframes

The following timeframes are estimates for our standard service packages. These timelines commence once we have received all necessary materials from you (e.g., brand assets, content, product information, access credentials), the upfront payment has been processed, and the contract has been signed.

  • Starter Launchpad Plan: The expected delivery timeframe is approximately 7 business days.
  • Business Plan: The expected delivery timeframe is approximately 14 business days.

Important Considerations & Potential Extensions:
While we are committed to meeting these timelines, you acknowledge that delays can occur. The timeframe for either plan may be extended under the following circumstances:

  • Unforeseen Technical Issues: If we encounter complex bugs or platform-related issues that require significant troubleshooting.
  • Client Feedback Delays: If there are delays in receiving feedback, content, or approvals from you.
  • Scope Revisions: If the project scope is expanded or significantly altered during the development process.

In such cases, the Starter Launchpad plan may extend up to 14 business days, and the Business Plan may extend up to 28 business days. We will maintain transparent communication with you regarding the project's progress and any factors impacting the timeline.

5. Store Creation: Revisions & Project Completion

Our goal is to deliver a store that meets your expectations. The following process applies to all Store Creation projects:

  • Initial Delivery: Upon completion of the development phase as outlined in the project scope, we will deliver the "finished" store to you for review.
  • Review Period: You will have three (3) business days from the time of delivery to review the store and identify any issues, bugs, or minor corrections needed. All feedback must be compiled and provided to us within this period.
  • Included Revisions: Every Store Creation project includes two (2) free rounds of revisions to address the feedback provided during the review period. A "round of revision" consists of a single, compiled list of changes you provide.
  • Additional Revisions: Any changes requested after the two free revision rounds are exhausted, or after the 3-business-day review period has passed, will be considered new work and will be subject to our standard hourly rate. This includes changes that deviate from the original project scope.

6. Fees, Payments, and Excluded Costs

  • Payment Terms: A single, full payment for the agreed-upon services, as outlined in the project quote or proposal, is required at the beginning of the project. Work will commence only upon receipt of this payment and the formal signing of the contract.
  • Disclaimer on Additional Costs: Our service fees cover our labor and expertise only. All costs associated with third-party products or services are your sole responsibility. These costs are NOT included in our service plans and include, but are not limited to:
    • Shopify subscription fees.
    • Fees for paid Shopify themes.
    • Subscription fees for third-party Shopify Apps.
    • Domain name registration and renewal fees.
    • Stock photography or custom font licensing fees.

7. Domain Name Services & Setup

We offer assistance with connecting your domain name to your Shopify store.

  • For Existing Domains: If you already own a domain through a third-party provider (e.g., GoDaddy, Namecheap), you must provide us with full administrative access to your domain registrar account. This access is required to configure the DNS records to point to Shopify's servers.
  • For New Domains: If you wish for us to purchase a new domain, we can facilitate the process. We will create an account with a recommended domain provider on your behalf, purchase the domain, and configure all necessary settings. Upon project completion, we will transfer full ownership and access credentials for the domain account to you.
  • Propagation Times: You acknowledge that after a domain is connected or updated, it is subject to DNS propagation, which can take anywhere from a few minutes to 48 hours to complete worldwide. This propagation time is a standard internet function and is beyond our control.

8. Technical Support & Unforeseen Issues

  • Our Commitment: We strive to deliver high-quality work. While we aim to minimize errors, the nature of software development means that a completely bug-free store cannot be guaranteed. However, we are not responsible for issues caused by third-party apps, Shopify platform updates, or changes you make to the code after project completion.
  • Shopify Support Liaison: If a technical issue arises that is beyond our direct control and may originate from the Shopify platform itself, we will act as the primary liaison and contact Shopify Support on your behalf.
    • During Development: If such an issue occurs before the store ownership is transferred to you, we will manage all communication and resolution efforts with Shopify.
    • Post-Transfer: In some cases, Shopify Support requires direct contact from the official store owner. If this is necessary after the store has been transferred to you, we will provide you with precise, step-by-step instructions on what to communicate to Shopify Support to resolve the issue.

9. Intellectual Property & Ownership Transfer

Upon the successful completion of the project and its final delivery, ownership of the final store design and code will be transferred to you. We retain the right to use the project (your brand name, a link to your store, and screenshots of the public-facing website) in our portfolio and for marketing purposes, as outlined in our Privacy Policy.

10. Limitation of Liability

In no event will CoudFinet be liable for any lost profits, lost savings, or any indirect, incidental, special, or consequential damages arising out of the services we provide or the operation of your Shopify store, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from this agreement will not exceed the total amount of fees paid by you to CoudFinet for the specific project in question.

11. Confidentiality

We agree to keep your business information and project details confidential. Likewise, you agree to keep any of our proprietary methods, tools, or business information that you may be exposed to confidential.

12. Termination

Either party may terminate the service agreement with written notice if the other party is in material breach of these Terms. Upon termination, you agree to pay for all work completed up to the date of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Province, Country]. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in [Your City, State/Province].

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website and updating the "Last Updated" date.
